These Terms and Conditions constitute a binding legal agreement between you and BizLogic regarding your use of our website and business analysis services.   • • Harassment of staff or other clients
  • • Misrepresentation of identity or credentials
  • • Use of services for illegal purposes

Consequences:

  • • Immediate termination of services
  • • Legal action where appropriate
  • • Reporting to relevant authorities
  • • Recovery of damages and costs
  • • Permanent ban from future services

3. Content Guidelines and Restrictions

All content you provide must be accurate, relevant, and legally compliant. You warrant that you have the right to share any business information provided during our analysis process and that such information does not violate third-party rights or confidentiality agreements.

You are responsible for ensuring that any data shared complies with applicable data protection laws, including GDPR where relevant, and that appropriate internal approvals have been obtained for sharing business information with external consultants.

4. Age Restrictions and Requirements

Our services are intended for business professionals aged 18 and above. Individuals under 18 may only access our website under parental supervision and cannot enter into service agreements. All service contracts must be executed by authorized representatives with legal capacity to bind their organizations.

Liability and Warranties

While we strive to provide high-quality business analysis services, we make no warranties or guarantees about specific business outcomes or results. Our services are provided on an "as is" basis, and we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Business analysis involves assessment of complex organizational factors, and actual results may vary based on implementation, market conditions, organizational changes, and other factors beyond our control.

Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid for the specific service engagement giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data.

Important: This limitation applies regardless of whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Consequential Damages Exclusion

Under no circumstances shall BizLogic be liable for any consequential, indirect, or speculative damages, including but not limited to lost business opportunities, anticipated savings not realized, or damages resulting from third-party decisions based on our analysis. This exclusion applies even if such damages were foreseeable or we were advised of their possibility.

Force Majeure Provisions

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or other force majeure events. In such cases, our obligations shall be suspended until such circumstances cease to exist.

Legal Information and Dispute Resolution

1. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus, specifically the District Court of Nicosia.

For international clients, while Cyprus law governs, we recognize that certain consumer protection laws of your jurisdiction may also apply and will be respected where legally required.

2. Dispute Resolution Procedures

Step 1: Direct Negotiation

Any disputes should first be addressed through direct communication with our management team. We are committed to resolving issues professionally and promptly.

Step 2: Mediation

If direct negotiation fails, disputes may be referred to mediation through a mutually agreed mediator in Cyprus, with costs shared equally between parties.

Step 3: Legal Action

As a last resort, unresolved disputes may be submitted to the competent courts of Cyprus, with the prevailing party entitled to reasonable attorney fees and costs.

3. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the agreement, and the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely approximates the original intent.

4. Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated to existing clients via email at least 30 days before taking effect. Continued use of our services after the effective date of changes constitutes acceptance of the modified terms.

Note: For ongoing service engagements, modifications will only apply to new projects or contract renewals unless otherwise agreed in writing.
